Welcome to Shapeful, a design agency operated by 2R Ventures Ltd. ("Company," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your use of our website, services, and products. Shapeful offers a range of design and marketing services, including but not limited to:

  • Logo & Branding: Custom logo design, brand identity development, and brand strategy.
  • Photos & Retouching: Professional photography services, image enhancement/retouching and renderings.
  • Packaging & Print Material: Design for product packaging, brochures, business cards, and other print materials.
  • Marketing Content: Creation of visual content for digital and print marketing, including social media graphics, advertisements, and promotional materials.
  • Marketing Services: Social Media Management, Search Engine Optimization (SEO), E-Mail Marketing and Pay-per-Click (PPC) Advertising.
  • Web Design: Design and development of websites and user interfaces, with a focus on responsive, user-friendly experiences.
  • Illustration: Custom illustrations for branding, marketing, and various other creative projects.
  • Presentation Design: Professional design for PowerPoint or other presentation materials.
  • Infographics: Creation of visually engaging infographics for data visualization.

These services may be updated, changed, or expanded as per Shapeful’s offerings.

3. Intellectual Property

  • Ownership Before Full Payment: Until full payment is received, all rights, including ownership and intellectual property rights, to any draft or final deliverables remain with Shapeful. You are not permitted to use, modify, distribute, or reproduce the deliverables in any form until full payment has been made.
  • Ownership After Full Payment: Upon receipt of full payment, all rights, including ownership and intellectual property rights, to the final deliverables are transferred to the client. You will have full and exclusive rights to use, modify, distribute, and create derivative works from the final deliverables. Any legal issues, disputes, or claims that may arise related to the use, distribution, or modification of the final deliverables will be the sole responsibility of the client from the moment ownership is transferred.
  • Third-Party Materials: If your project involves third-party assets (e.g., stock photos, fonts, or licensed materials), you are responsible for obtaining the necessary usage rights, unless otherwise agreed upon in the contract.
  • Portfolio Use: Shapeful reserves the right to display completed projects, including logos, website designs, and other materials, in our portfolio or marketing materials unless otherwise agreed upon in writing.

4. Client Responsibilities

  • Information Provision: You agree to provide accurate and complete information required for the successful delivery of our services. This includes any content, images, or materials needed for your project.
  • Approval: You are responsible for reviewing and providing feedback on drafts and final deliverables in a timely manner. Delays in your feedback may affect the project timeline.
  • Legal Compliance: You are responsible for ensuring that any materials or content you provide comply with applicable laws and do not infringe upon the intellectual property rights of others.

5. Payment Terms

  1. Pricing: All prices for services will be quoted prior to the commencement of the project. Prices may vary based on the scope and complexity of the services requested.
  2. Payment Schedule: A deposit may be required before work begins, with the balance due upon completion of the project. Specific payment terms will be outlined in your project agreement.
  3. Late Payments: Any overdue payments may incur additional charges or interest, as specified in your project agreement.

6. Confidentiality

We will take reasonable measures to protect the confidentiality of your information. However, we may disclose your information if required by law or if we believe such disclosure is necessary to protect our rights or the rights of others.

7. Limitation of Liability

Shapeful and 2R Ventures Ltd. are not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount paid for the specific services in question.

8. Termination

  1. By You: You may terminate our services by providing written notice. Upon termination, you will be responsible for payment for all work completed and all hours invested up to the termination date.
  2. By Us: We reserve the right to terminate our services if you fail to comply with these Terms, if we are unable to continue providing services due to circumstances beyond our control, or at our discretion without the need for your consent. In such cases, we will provide reasonable notice and you will be responsible for payment for all work completed and hours invested up to the termination date.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website, and your continued use of our services following such changes constitutes your acceptance of the new Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Cyprus. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Larnaca, Cyprus.
